Terms of Service

1.Acceptance of Terms

By registering for or using truePOS ("Service"), you agree to be bound by these Terms of Service ("Terms"). If you are accepting on behalf of a company or other legal entity, you represent that you have the authority to bind that entity. If you do not agree to these Terms, do not use the Service.

2.Description of Service

truePOS is a cloud-based, multi-module hotel and restaurant management system ("truePOS") offered as a Software-as-a-Service (SaaS). The Service includes front desk management, point-of-sale, housekeeping, GST billing, analytics, and related modules as described on our pricing page. Feature availability depends on the plan you subscribe to.

3.Account Registration

• •You must provide accurate, complete, and current information during registration.
• •You are responsible for maintaining the confidentiality of your credentials.
• •You must promptly notify us of any unauthorised use of your account.
• •One subscription covers one business entity. Sub-accounts or multi-property access may require separate plans.
• •You must be at least 18 years old and legally capable of entering into contracts under Indian law.

4.Subscription & Billing

• •Plans: Subscriptions are available on monthly or annual billing cycles at the prices displayed on our Pricing page.
• •Auto-renewal: Subscriptions auto-renew at the end of each billing period. You will receive an email reminder 7 days before renewal.
• •Payment: Payments are processed securely by Razorpay. We accept UPI, credit/debit cards, and net banking.
• •GST: All prices are exclusive of GST. GST at 18% is charged additionally and shown at checkout.
• •Refunds — Monthly: Monthly subscriptions are non-refundable once activated.
• •Refunds — Annual: Annual subscriptions may be refunded within 7 days of initial purchase if you have not activated more than 2 logins. Renewal payments are non-refundable.
• •Cancellation: You may cancel your subscription at any time from your dashboard. Access continues until the end of the current billing period.

5.Acceptable Use

You agree NOT to:

• •Reverse engineer, decompile, or attempt to extract source code from the Service.
• •Share, resell, or sublicense your account credentials.
• •Use the Service to store or transmit unlawful, defamatory, or fraudulent content.
• •Attempt to gain unauthorised access to other tenants' data.
• •Use automated bots or scrapers against our API without written permission.

6.Intellectual Property

truePOS and all its components — including software, design, trademarks, and documentation — are the exclusive property of Qodepilot Software Engineering Studio and are protected by Indian and international intellectual property laws. These Terms do not grant you any rights to use our trademarks or branding. Your data remains your property. We process it solely to provide and improve the Service.

7.Service Availability

We target 99.5% monthly uptime excluding scheduled maintenance. Planned maintenance will be announced at least 24 hours in advance via email. We are not liable for outages caused by third-party infrastructure, force majeure events, or customer-side issues.

8.Limitation of Liability

To the maximum extent permitted by applicable law, truePOS's total liability for any claims arising out of or related to these Terms or the Service shall not exceed the amounts paid by you in the 3 months preceding the claim. We are not liable for indirect, incidental, consequential, or punitive damages, including lost profits or data loss.

9.Termination

We may suspend or terminate your account immediately if you breach these Terms, fail to pay subscription fees, or engage in activity that harms other users or the platform. Upon termination, your right to access the Service ceases. You may export your data within 30 days of termination; after that, data may be permanently deleted.

10.Changes to Terms

We reserve the right to modify these Terms at any time. We will notify you of material changes via email at least 14 days before they take effect. Continued use of the Service after the effective date constitutes acceptance of the revised Terms.

11.Governing Law & Disputes

These Terms are governed by the laws of India. Any dispute, controversy, or claim arising out of or relating to these Terms shall first be attempted to be resolved through good-faith negotiation. If unresolved within 30 days, disputes shall be subject to the exclusive jurisdiction of the courts in Mumbai, Maharashtra, India.
